Tokenized-securities infrastructure company tZERO plans to go public through a merger with FG Imperii Acquisition Corp. (FGII), according to a Nov. 2 BlockBeats report citing CoinDesk.
Proposed terms
The transaction would value tZERO at approximately $350 million on a pre-money basis and could provide up to about $231 million in SPAC trust cash, depending on shareholder redemptions and fees.
The combined company intends to list on NYSE American under TZRO, with closing expected in early 2027. The proposed merger remains subject to shareholder and regulatory approvals.
